620.784  Name of registered limited liability partnership.--

(1)  The name of each registered limited liability partnership must contain the words "Registered Limited Liability Partnership" or the abbreviation "L.L.P." or the designation "LLP" as the last words or letters of its name. The name of a registered limited liability partnership shall be filed for purpose of public notice only and shall create no presumption of ownership beyond that which is created under the common law and which shall be recorded by the Department of State without regard to any other name recordation.

(2)  Omission of the words "Registered Limited Liability Partnership" or the abbreviation "L.L.P." or the designation "LLP" in the use of the name of the registered limited liability partnership renders any person who participates in the omission, or knowingly acquiesces in it, liable for any indebtedness, damage, or liability occasioned by the omission; provided, however, that liability to any claimant is not created under this subsection by any such omission if the claimant had, or in the exercise of reasonable diligence should have had, actual notice that the partnership was a registered limited liability partnership.
